Provision of Services

Services are performed according to the scope, milestones, and timeline defined in the Agreement. We use reasonable professional standards and operational care in delivering services.

Completion schedules may depend on timely cooperation, approvals, and materials provided by the client.

Proposals and Scope Validity

Service proposals remain valid for thirty (30) calendar days unless otherwise specified. After this period, they may be revised.

Any additional work outside the agreed scope must be approved in writing before proceeding.

Fees, Costs, and Taxes

Unless otherwise stated:

  • Third-party costs are invoiced separately
  • Approved expenses may be billed at cost
  • Clients are responsible for applicable taxes associated with services

Payment Terms

Invoices are payable within five (5) calendar days unless another arrangement has been agreed in writing. Payments may follow milestone-based schedules.

Delayed payments may affect service timelines.

Changes to Scope

All requests for changes must be submitted in written form.

Minor adjustments that do not significantly affect cost or schedule may be accommodated without formal contract modification. Major changes affecting pricing, scope, or delivery timelines require a revised Agreement.

Updated proposals should be accepted within fourteen (14) working days.

Delays and Schedule Adjustments

If delays occur due to missing client input, approvals, or required materials, delivery timelines will be extended accordingly.

Events beyond reasonable operational control may also result in adjusted timelines without constituting breach.

Review and Acceptance of Deliverables

Deliverables undergo internal review before submission.

Clients have seven (7) working days to review completed work and request revisions within scope. If no feedback is received, the deliverables may be considered accepted.

Client Responsibilities

Clients agree to:

  • Provide accurate and lawful information
  • Ensure submitted materials do not infringe third-party rights
  • Provide timely approvals and communication
  • Review deliverables for accuracy

Unless otherwise agreed, final approval responsibility remains with the client.

Attribution and Portfolio Reference

helpdeskbpo.com may reference completed engagements in its portfolio or internal materials unless otherwise agreed in writing.

Confidentiality

Both parties agree to protect confidential information shared during the engagement.

This obligation does not apply to publicly available information or information obtained lawfully from independent sources.

Independent Contractor Status

helpdeskbpo.com operates as an independent service provider. Nothing in these Terms creates employment, partnership, or joint ownership.

Subcontractors may be used where appropriate while maintaining responsibility for service delivery.

Limitation of Liability

To the extent permitted by applicable law, services are provided without guarantees beyond those expressly agreed. Liability is limited to the amount paid for the services related to the claim.

Ownership and Usage Rights

Upon full payment, the client receives a non-exclusive, perpetual license to use the final deliverables as agreed.

All internal systems, workflows, and proprietary tools remain the property of helpdeskbpo.com unless otherwise transferred in writing.

Support Services

Additional support services are provided only if separately agreed. Such services may be billed independently. Any warranty may not apply if deliverables are modified without authorization.

Updates to These Terms

We may update these Terms from time to time. The version published on helpdeskbpo.com at the time of use will apply. Continued use of the website indicates acceptance of any revisions.
